Conac to sell 1.8 million units privately

Mr. Allan Thompson reports
The company has arranged a private placement of 1.8 million units at 30
cents per unit to raise $540,000. Each unit will consist of one common
share and one share purchase warrant. Each warrant entitles the holder to
purchase one common share at a price of 30 cents per share for 12 months
following the date of issue of the warrant and, thereafter, at a price of
40 cents until 24 months following the date of issue of the warrant.
There will be a finder's fee of 10 per cent for the first $300,000 and 7.5
per cent for the balance paid for the private placement.
The private placement is subject to regulatory approval.
