sunny, the issue we were attempting to clarify was how CMGI would structure the business combination - i.e. as a taxable transaction, or a non-taxable corporate reorganization under IRC 368(a). The implications were whether this roll-up would have any affect on earnings per share. I guess I'm inclined to believe this isn't going to create a taxable event.... Mark
