Sanborns' full-cash tender offer is to buy all outstanding shares of CompUSA, and the company expects Telefonos de Mexico
(Telmex) (NYSE:TMX - news), Microsoft Corp. (NasdaqNM:MSFT - news), and SBC Communications Inc. (NYSE:SBC -
news) to join as minority investors.

Sources close to the deal said the minority shareholders would take a 49 percent stake by joining in the financing for the tender
offer, which is expected to begin next week and will likely take a month to complete.
