SHCC news - Varner, www.Varner.com, and Saratoga are to joint venture sales of local internet access and prepaid long distance calling services

Saratoga International Holdings, Corp. (OTC:BB SHCC), announced today
that its wholly owned subsidiary, Saratoga Telecom, Corp. has signed a
letter of intent with Varner Technologies, Inc.("VTI") (OTCBB:PEPM);
whereby VTI and Saratoga are to combine their efforts under a joint
venture agreement to market and sell Internet services and prepaid
phone cards.

Saratoga is to supply VTI with international toll free access from over
ninety countries world-wide.

VTI is a multifaceted company providing both Internet Service and
PrePaid phone cards to the public. VTI has over 3500 points of presence
within the US, and over 6,000 representatives selling both Local
Internet Access and prepaid phone cards.

The joint venture will open up several avenues for both companies. VTI
has long been a progressive company capitalizing on new technologies
and at the same time offering competitive pricing.

The joint venture will also allow Saratoga to offer a new Domestic
Virtual Phone Card via the Internet at rates which will be extremely
competitive, while VTI's representatives will be marketing
International Toll Free Access back to the US. The joint venture will
stipulate that Saratoga will provide its Virtual Talkischeap phone card
software to VTI for private labeling.

Mr. Thomas S. Morsey, President of Saratoga Telecom, said, "We couldn't
be more enthusiastic about the future of both companies!" Morsey went
on to say, "Hard work, foresight and a little luck will guide Saratoga
through the next two years."

Saratoga's goal is to be a leader in the Internet based Virtual
International Calling Card industry.
