Now, it is not uncommon for parties to sign confidentiality and non-disclosure agreements during the process of licensing discussions.

It would seem that the terms of a consummated licensing agreement would need to be kept confidential so that the licensor could negotiate freely with future licensees. I don't see how a confidentiality agreement would bind the parties regarding more extraneous matters. Also, there was never a mutual agreement between the parties as the negotiations eventually dissolved.
