Was there any other detail or justification for this? Also, what happens if the merger is not approved by USRX shareholders?

that the ratio will STAY at 1.75:1 no matter WHAT happens in the marketplace prior to the deal closing. The ratio is absolutely fixed. That is "hard-wired" into the agreement.
