On 12/21/97 Millennium Group Holdings was purchased as a shell company and over the past 2 years the current staff has been working to get it clean and fully reporting.
An "E" was recently attached to MGHC. By the end of next week a number should be issued to MGHC for them to do their filing electronically. MGHC expects to be fully reporting in the next two weeks and the "E" should be removed the first week in February. A press release will be issued at that time stating so.

***THE VILLAS AT HALF MOON BAY***
These villas are located at Half Moon Bay on the island of St Kitts. The villas are built on a hillside overlooking the Royal St Kitts Golf Course and the Atlantic Ocean. Currently 13 of 32 villas have been completed. 2 more have been completed since the press release on 6/24/99. The money is available to complete all 32 villas. Millennium Group Holdings is committed to not
build the villas on a speculative basis. Villas must be pre-sold before they are built. Royal St. Kitts Golf Club is St. Kitts lone golf outlet and is an 18-hole championship course. Robert Trent Jones, Jr, designed the course.

***CARRIBEAN MORTGAGE CORP.***
MGHC has a 20% equity stake in Caribbean Funding. Caribbean Funding will provide mortgages all over the Caribbean and they are not exclusive to Millennium Group Holdings. Caribbean Funding currently does not have a separate office and never has had an office.
***PUBLIC RELATIONS/INVESTOR RELATIONS***
MGHC was in the process of hiring a Director or Public Relations/Investor Relations when they got word that the filing was not complete and the ?E? was attached. MGHC basically dropped what they were working on and have been focusing on the filing. Once the filing is complete and the ?E? goes away they are planning on hiring someone to fill the position of Director of
Public Relations/Investor Relations. Once this position is filled investor packets will be mailed out to all current shareholders. The date of a shareholders meeting will be announced after the filing is complete and the ?E? is removed.
***WEBSITE***
MGHC is developing a website that will be up after the filing is complete. An exact date is not known. As previously stated the focus is currently on completing the filing.
***FUTURE ACQUISITIONS***
There are a number of things that MGHC is working on. There are business synergies in the high tech field that are being considered. Any announcements of acquisitions/reverse mergers will be made after the filing is complete. This is not to be taken as ?there will be announcement(s)?, merely that they are looking and talking and the potential is there.
