Bill,

Miranda wants to leave for DELAWARE. Since its properties are located in the United States and Mexico, plus the shares are quoted on the OTCBB in the US, they feel it is in best interests to incorporate there.

Also, management is of the opinion that the US capital markets are favourably disposed to emerging companies. The company will not be considered to be incorporated in Canada for income tax purposes.

Shareholders can dissent, making the company buy their shares at fair value at time of changeover.

What will this do to price of MAD shares? They appear to have good properties and financing in the US is more probable now.
