Tony,
A proxy goes out to shareholders of record as of a given date. I don't think PR's are required for that.

I do believe, however, that the results of the vote should be reported in a PR. But, since this is a non-reporting company, and the number of outstanding shares has not been officially reported, this could be moot. Kind of confusing actually.

BTW, the point of my last post was that management might be able to effect the merger without shareholder approval, and that putting it to a vote might actually be an act of good faith!
