On January 24, 2000, PairGain Technologies, Inc., a Delaware
corporation (the "Company"), issued a press release announcing that it entered into an Asset Purchase Agreement with GlobeSpan, Inc., a Delaware corporation ("GlobeSpan") on January 21, 2000, under which the Company agreed to sell the Company's assets relating to its microelectronics group to GlobeSpan. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by this
reference.
