Mike, the proxy thing is not a act of good faith. It is the result of a lot of confusion that now they are trying to straighten out. It started out simply to be a pole of the largest stockholders to see if the idea of a merger would fly. Then it kept mushrooming until you have this very confused document.
Thursday, I was told by Mr. Holt, that at this time they only had about half of the necessary votes to pass the merger proposal. They are still soliciting votes.

Their transfer agent can give you the official amount of shares that have been issued.

For further information on the proxy issue, call Jason Holt. But remember, he will be trying to sell you on the idea.
