It is that simple. 3Com says that it will retain 530 million shares and will distribute all of them to COMS shareholders. That 530 million is exclusive of the 23 million IPO shares; the potential overallotment; the shares sold to the three companies; and any and everything else. The 530 million shares is net. That's the way I read it.
