In my conversation with Mr. Holt, I did not get the impression that the merger was a do or die situation. I asked him if they had the votes according to his survey of large share holders. He said they only had about 50 percent needed. Maybe the reason the merger agreement gives them the right to change the cut off date until March, and then until April, is to give them a continuing chance to solicit yes votes. He did say that if they did not get the yes vote needed they would go some other route. The some other route might include issuing preferred stock, was my impression.
I think that if they tried some other way to do the merger, there would be a lawsuit on their hands. They have treaded on thin ice before in regard to SEC rules, in my opinion. My fear is, that once they start producing revenue, then the vultures (class action lawyers ) will smell blood and jump on one of these violations and bring suit. Of course, that means the company and us shareholders both will be losers.
