I think that you are confusing the CPA's "going concern" statement with the typical disclaimers found in IPO prospectus'. They do typically contain numerous disclaimers (made by the company, though, not their CPA) regarding competition, high costs, unproven technology, etc. etc.

This was something quite different: a statement by the CPA laying doubt to the viability of the company as a going concern. (In plain words: imminent demise...)

I assure you that any company that included such a CPA statement in their prospectus would never IPO.

The Union-Tribune article used the most recent material available at the time that it was published. The SEC filing you are referring-to was submitted subsequent to the publication of the article.
