You are basing your future value of CPU on "your" expectations. On the other hand, the BOD has a much clearer view of which way the company was headed. If the BOD expected CompUSA's business to improve to warrant higher stock valuations in the somewhat near future, they most assuredly would have declined the offer. The BOD could have rejected the offer and you could possibly be watching future results plummet the stock price even further.

The turn around plan was not so great. This company was in trouble and may have never seen $10 again. This offer acceptance solidifies that fact. All shareholders received a nice premium to then current valuations.
