I can't attach a link or cut and paste but if you check quicken news for Novell you will see that they speak about the agreement in the past tense.( under the agreement Whittman Hartt provided Novell ) This was published by Dow Jones News and it seems pretty clear to me that Novell is the seller.It also may account for some of the sell off in Whit on Friday and Monday.
