Mike - here is the memo - "exclusive distribution rights" does not necessarily mean profits. I understand that Nortel owns 7/8 of the joint venture known as Arris.

Memo of Understanding of 12/3/98 between Antec and Nortel -

As currently envisioned, ANTEC will receive exclusive distribution rights for all Broadband Technology's products to all United States Cable Operators while Nortel Networks' will have exclusive distribution rights outside the United States and to non-Cable Operators in the United States. ANTEC and Nortel Networks also plan to enter into a joint
marketing agreement whereby Nortel Networks will promote sales of other ANTEC hybrid fiber coax products outside of North America that are required to build and support broadband network operations.
