** TELEFONICA's (TEF: 86, + 5) shareholders on Friday cleared the
Spanish telecommunications giant's $27 billion plan to seal its
dominance of the fast-growing Latin American phone market.
Shareholders gave the company clearance to issue 922 million new
shares -- a 28 percent capital increase -- to bid for full control
of two Brazilian subsidiaries and its Argentine and Peruvian
units. The vote stands to make Telefonica Europe's second-largest
fixed phone services and the world's sixth largest mobile phone
