You bring up an interesting point about the debt, but if IM does not assume the debt, the 70-90 million would be tantamount to getting the company for free. I don't think Sanford is willing to give it away, but then who knows.... maybe they are that desparate.

I share the concern about the impact of the XLCT spinoff on the share price. I do think there will be time after the sale to IM is announced to unload INEL shares before the distribution. It is also possible that INEL will sell XLCT rather than complete the spinoff, one of the rumors alluded to this. It would be possible to factor out the XLCT risk by shorting .38 shares of XLCT for every share of INEL you are long and locking in the current price.
