Folks,

Just heard the conference call. The key things I took away from the call were:

1. Merger with TV Guide expected to close by end of April barring regulatory problems. However no regulatory problems anticipated.

2. The Dec. Q included $18M as income from the GIC settlement. This was for partial recognition for amounts owed. So the .13 included the income generated because of this revenue recognition. Not sure how much this contributed to the bottom line, but I suspect the after hours whacking is because of this.

3. Henry was very big on the e-Book market. He says it is considerably easier to deploy then the EPG market. The EPG market still needs a lot of infrastructure and cable operator/content provider agreements in place. However he was very excited about the Thomson agreement, and anticipated more agreements with manufacturers.

4. Henry mentioned that the SFA lawsuit settlement may be positively impacted because of the TV Guide merger. TIVO lawsuit was for the Guide patents which have held up in court. Felt confident that the TIVO lawsuit will result in a settlement.

5. Friendly talks with AOL in light of the TWX merger. Can't say whether a separate deal for TWX of included in AOL deal.

6. 900 MHZ capabilities will be incorporated into Thomson TVS in early 2001. Someone asked about additional manufacturers, but Henry did not divulge (if I remember that right).

Long term still looks awesome(My opinion).

Cheers,

Piyush
