And, if a new bidder should show-up, I imagine that the lawyers have probably established certain lock-up provisions that would force INPR to give up "some considerable" portion of its cash.

Possibly, but it has become more and more common for these merger announcements to really announce the commencement of bidding. The problem here is I'm not sure who else there is to be doing the bidding...
