I think the whole thing with CMGI holding greater than a majority and Son holding less has to do with US laws regarding holding companies and mutual funds. Remember CMGI bought ALTAVISTA in order to skirt the problems it was encountering because it had many investments and few operating companies. Also, Son saying he wouldn't want to be subject to US laws via an ADR issuance is I think a response to these issues. If filing for an ADR would subject Softbank to these laws (and I don't know the answer to this question) then it would require that Softbank change the very nature of its business model (namely holding tidbits of many companies) and of course Softbank would be unwilling to do that. JMHO
