Those "one-time" costs can add up. From today's 3COM S4/A:

< 3Com and USR estimate that they will incur direct transaction costs of
approximately $35 million associated with the Merger which will be charged to
operations in the fiscal quarter in which the Merger is consummated. In
addition, it is expected that following the Merger, 3Com will incur cash and
non-cash restructuring charges to operations, currently estimated to be between
$290 and $340 million in the fiscal quarter in which the Merger is consummated.
These amounts are preliminary estimates only and are therefore subject to
change. There can be no assurance that 3Com will not incur additional charges in
subsequent quarters to reflect costs associated with the Merger.>
