OVERVIEW
Although the Internet software industry is growing rapidly, and applications are proliferating at a dizzying speed, the current market for software that integrates database interactivity with Web sites, including e-commerce transaction capability, is dominated by Allaire's Cold Fusion.

DBPanacea possesses not only the primary ability to perform those tasks essential to e-commerce, but its developers claim a shorter learning curve, faster development time (more than 50%) and platform independence without recoding using 95/98/NT, Unix, Linux or Mac.

History
PRTI was incorporated in 1986 in Colorado. In June 1995 the Company was reorganized and the domicile changed to Nevada. On November 3, 1999, under new management and control, PRTI acquired the rights to purchase up to 100% of HHPN Development Corporation with operations in San Diego, CA.

HHPN had created a state of the art software application for rapid deployment of database integrated websites before the acquisition.

Business/Products
Phoenix Resources Technologies, Inc. will be launching DBPanacea, a state-of-the-art suite of development tools for deployment of database integrated websites as well as several applications with global potential. All e-commerce transactions on the Internet are dependent on such software. DBPanacea is in its final stages of testing/completion and launch. Early beta testers were impressed and recommended several inexpensive, yet powerful features that HHPN has incorporated.

Management fully expects to make a major impression in the world of high-end web development. Current competition includes Microsoft's InterDev (Nasdaq: MSFT) and Allaire's Cold Fusion (Q: ALLR). These companies are noted solely as product comparisons. Their respective software is sold to Independent Service Providers (ISP), mid/high level website developers and firms desiring to integrate complete database functionality including e-commerce transaction capability into their websites.

DBPanacea may have noticeable advantages over competitors including faster development, shorter learning curve and consequently lower overall development costs. In addition, applications developed with DBPanacea are platform and database independent.

Sites developed with DBPanacea can run on NT, UNIX, LINUX or MAC without recoding, using SQL, Sybase, Oracle or any other database engine. The software works on any webserver including Apache, Information Server, Netscape Server or any other server that supports servlets. Most noteworthy was the test at Copernicus Computer Services Training Center where the objective was to determine an obvious speed advantage given to developers using DBPanacea. The summary results had the InterDev developer partially completing the test in five hours, the Cold Fusion developer taking 2.5 hours to complete and the DBPanacea developer completing the application with an overwhelming advantage of only 37 minutes.

The Market
Considering the average e-commerce site can cost $100,000 or more to develop, savings in time and money are considerable and should ensure rapid market acceptance when DBPanacea is released.

HHPN is currently working on a $200,000 contract developing an online membership registration and management system using DBPanacea. Six additional contracts are in negotiation.

Phoenix president Ben Traub says, "I wouldn't be surprised to see DBPanacea quickly take leadership in the world of web development where e-commerce functionality and database integration has become increasingly important."

Management
Ben Traub is the President and CEO of Phoenix Resources Technologies. Mr. Traub was the founder and former owner of "Imagenation" Media Corp., one of Western Canada's largest direct marketing agencies. He has taught advanced courses in relationship marketing at Simon Fraser University in cooperation with the Federal Business Development Bank and has taught his proprietary and innovative marketing techniques to thousands of senior marketing executives. He has produced a cassette and video series entitled "How to build a million dollar marketing plan" and written dozens of articles and two mini books on the same subject. He is the former Sales Manager for a marketing subsidiary of MacLean Hunter and the former Marketing Director of Consumers United.

Judee Fayle, Secretary/Treasurer brings over 20 years of well-rounded securities experience to the board. This experience includes three years with in a Canadian Stock Exchange's Listings Department as an Assistant to Listings Officer and seven years as Manager of the administration for a management company to a number of publicly trading companies in which she also held various directorships.

Robert Seitz, Director, brings to Phoenix Resources Technology, his repeated success in launching start-up companies through the OTC bulletin board. He adds his extensive design and set-up work on several e-commerce websites.

Financial Status
PRTI has agreed to acquire 100% of the private DBPanacea web development company, HHPN Development Corporation, for $177.5 million. The initial $2.5 million is directed towards marketing and working capital. The $175 million will be paid to the current owners of HHPN.

Competitor Cold Fusion's owner Allaire, (NASDAQ/ALLR) closed at $141 3/8 on January 14, 1999.
