I believe you are correct about the merger with a shell and I felt the same way as you did when AVBC did this. I started asking why they had to do this. It was the exact same thing. AVBC promised financials at the beginning of the year, then in june, then july and finally in August, they did what QTEK is doing now. It seemed real sketchy to me that they had to do it this way. But the more I looked into it, the more I found that other companies were doing the same. Why? Because it is a real pain to file it and have the SEC make comments and have to redo everything to their satisfaction only to file again and have more comments. This simplifies everything and probably saved the company alot of money by doing this way.

I can go into it more tonight if I have time, but you really shouldn't be concerned about them hiding anything. They are gonna provide an 8-K with financial statements which will answer all your concerns that you addressed. It will have the outstanding shares and where they came from and all that good stuff. In AVBC's case, if I remember correctly, they took about 2 months before filing an amended 8-K with all that information. The 8-K that is required is just the details of the aquisition. So at least they are bringing the financials out right away.

Your concerns are the same as I had when AVBC did this, and let me tell ya, I was pissed when they first announced it because I didn't fully understand what was going on. Then, I realized what a good move it was, and others must have to with AVBC because it went from the low .30's up to almost $2 recently. So you can be concerned. Just do yourself a favor and look into it a little bit and it will probably put you at ease. AVBC is a pretty good example. You should check out some of the posts on RB during that time. People were just ripping the CEO apart saying that it was a scam and that it wouldn't work and that the company they were merging with was run out of a crack house. It was brutal. But, the E got dropped, they became fully reporting, and AVBC did very well afterward.
