Diamondex to sell 2.5m special warrants privately

Mr. Randy Turner reports
Diamondex has negotiated a brokered private placement agreement to sell up
to two million Class A special warrants and 500,000 Class B special
warrants, all at a price of 65 cents per special warrant.
Each Class A special warrant will be convertible into one flow-through
common share and one common share purchase warrant. Each Class B special
warrant will be convertible into one non-flow-through common share and one
common share purchase warrant. Each share purchase warrant will entitle the
holder to purchase one common share at a price of 65 cents per share during
the first year and at 75 cents per share during the second year.
The special warrants will be converted on the receipt by the British
Columbia Securities Commission of an annual information form for the
company, or 12 months from the date of issue, whichever comes first.
On closing, the company will pay commission of 7.5 per cent in cash or
units and agent warrants equal to 10 per cent of up to the number of
special warrants sold.
The proceeds from this placement will be used toward continued diamond
exploration in the Northwest Territories.
