Cons Magna seeks shareholder approval for name change

Mr. Robert Archer reports
At the upcoming annual general meeting of Consolidated Magna Ventures to be
held on Thursday, March 16, 2000, the shareholders will be asked to pass
the following special resolutions (a resolution passed by a majority of not
less than three-quarters of the votes cast by the shareholders):
1. to approve the change of the company's name to Eclipse Ventures Inc.
or to such other name as may be acceptable to the Canadian Venture
Exchange and the Registrar of Companies;
2. to approve a consolidation ratio of up to 10 to 1 and a concurrent
increase in the authorized number of common shares to 100 million and
to alter the company's memorandum to reflect the foregoing.
Notwithstanding that the members may pass these special resolutions, the
directors of the company have the discretion not to proceed with the
special resolution at any time prior to its acceptance by the Canadian
Venture Exchange or the Registrar of Companies. At this point in time,
management intends to proceed with the name change but not the share
consolidation unless in the opinion of management, it becomes necessary in
order to increase shareholder value and help insure the long-term viability
of the company.
The proposed consolidation and name change have not yet received the
approval of the Canadian Venture Exchange.
