It looks as if Steve Nussrallah's Employment Agreement was Amended and Restated. If the company plans an offering before June 15, 2000 how far in advance will they need to file a registration statement with the S.E.C. ?

The exhibit is on the 12/31/99 10Q filed on 2/15/00.

6.Termination by employee for good reason
h. in the event the Company fails to dispose of its real-time division by January 1, 2000 and the Company fails to complete a public offering by June 15, 2000, raising at least $40,000,000, with respect to the Video-on-Demand division, whereby, 1) the Video-on-Demand division is spun off from the Company and becomes a publicly traded company, and 2) the Employee shall become the CEO of the new video-on-demand public company.

The previous language from the 3/31/99 10Q filed on 5/17/99 was:

h. in the event the Company fails to dispose of its real-time computer business by January 1, 2000, the Company fails to complete a public offering in respect of the Video-On-Demand Division by June 2000.
