reading the proxy statement on edgar, they have clearly stated the intentions to vote with the 20% of the total votes (A and B combined) held by others (not the insiders, insiders together own 80%+). So they have got to vote with whatever the remainder 20% votes for (the majority of the 20%), else there appear to be clear grounds for a lawsuit.

BTW, the only out is if there is another deal within a specified timeframe and then in that case there is a 7.2 Million penalty clause, which is miniscule.
