Kaiser raises eyebrow over New Claymore financing
New Claymore Resources Ltd NCS
Shares issued 4,165,775 2000-02-22 close $0.6
Wednesday Feb 23 2000
John Kaiser, writing in the Feb. 7 Bottom-Fish Action for the period Jan. 24 to Feb. 4, takes New Claymore Resources management to task over its Jan. 13 private placement of 400,000 units at 12 cents -- "an act that raises serious concerns about the credibility of management." New Claymore was one of Mr. Kaiser's favourite Alberta diamond stocks, having recommended it four times between November, 1994, and July, 1998, at prices ranging from 40 cents to $2.80. In the current report, Mr. Kaiser complains that when New Claymore's Tony Rich decided to do the 12-cent private placement, his company had a net realizable asset value of 29 cents a share, and that does not include the junior's remaining Alberta diamond play holdings. Another concern is the company's lack of disclosure over its $374,927 in marketable securities (book value). The letter writer complains that neither the annual report nor quarterly financials indicate what these securities comprise. "Management might counter that New Claymore stock was languishing at $0.15, but that has more to do with management incompetence and poor disclosure policies than market circumstances," he says.

Birch Mountain Resources Ltd -
Kaiser steamed over Birch Mountain financing
Birch Mountain Resources Ltd BMD
Shares issued 30,733,825 2000-02-23 close $2.85
Thursday Feb 24 2000
John Kaiser, writing in the Feb. 21 Bottom-Fish Action for the period Feb. 7 to Feb. 11, says Birch Mountain closed a private placement of 2,345,691 units at $1.15 that the company was working on since Nov. 8, when it applied to the Alberta Stock Exchange. Mr. Kaiser recommended the stock in December, 1998, at 30 cents, and did not comment on it until last month, in spite of its stellar gains throughout the year. It now trades at $2.70. In the current report, Mr. Kaiser complains that Birch Mountain did not make any prior public disclosures that it had fixed the price for a private placement of this scale. The letter writer spends most of his report using Birch Mountain's secretive private placement to complain about the shortcomings in the Canadian Venture Exchange's disclosure rules. "This secret private placement rule is an abonimation because it allows brokers and insiders to fix the price of a financing, promote the stock higher, and blow off paper to raise funds they can reinvest for paper at much cheaper prices," he writes. In the end, the public gets screwed, Mr. Kaiser says.
