Each unit consists of one share and one  non-transferable warrant, which is exercisable at 15 cents per share in the first  year and 20 cents in the second year.   The proceeds of the private placement will be used for exploration of the  company's oil and gas exploration projects in Australia.   The private placement is subject to Canadian Venture Exchange approval.

The proceeds of the private placement will be used for exploration  of  the company's  oil and gas exploration projects in Australia, Malta and Liberia and for working capital. The private placement is subject to Canadian Venture Exchange approval.

Each unit consists of one share and one non-transferable warrant, which is exercisable  at  15  cents per share in the first year and 20 cents in the second year. A finder's fee comprising 437,257 non-transferable warrants shall  be  paid to  R.  J. Laurie. Each non-transferable warrant is exercisable at 15 cents per share in the first year and 20 cents in the second year. The proceeds of the private placement will be used for exploration  of  the company's  gold exploration projects in Liberia, West Africa and to provide additional working capital. |
