Seems to me that MCI may have been key to this.

MCI has a board seat at ADC. PairGain has been hoping to
sell to (recover sales?) MCI. Someone mentioned that MCI
might not have been comfortable buying from Pair, but might
prefer to buy from ADC - either because of the board seat,
or because maybe MCI is looking at making purchases at
volumes ADC may be able to handle but Pair might not.

As suggested, ADC (incl. the MCI board member) probably
sat down and told Pair mgmt "hear's the deal: we'll buy
your product, if ADC buys PairGain. Otherwise we'll look
elsewhere." and then laid out an ... ahem ... "adequate"
offer.

If the Bell Atlantic deal has been floundering, and an MCI
deal was in jeopardy, the only way Pair might get >either<
contract is with the bigger guns of ADC. If Pair lost
either, or both, they might never get the legitimacy that
those contracts could bring to subsequent sales.

AND, management may finally be weary enough of the fight
to cave in.

Anyway, my bet is we see sales of Avidia to MCI sometime
after this deal closes, but not before.
