Mr. Robert Hamilton reports
Pallet Pallet has accepted a conditional offer of purchase from Logipal to
acquire the assets and liabilities of the Canadian Operations of PPI (other
than cash and accounts receivable). Logipal is a corporation controlled by
Yvan Bergeron, a vice-president of PPI and general manager of Canadian
Operations of PPI.
The offer is subject to various conditions, including entering into a
definitive agreement of purchase and sale and applicable regulatory and
shareholder approvals.
Closing will occur immediately following shareholder approval. This is
expected to occur by the end of March.
Simultaneously with the acceptance of the conditional offer, PPI and
Logipal entered into an agreement pursuant to which Logipal leases and
manages the Canadian operations, including the production, distribution and
sale of wood pallets. The term of the asset lease and management agreement
will end on the earlier of the closing of the sale to Logipal of the
Canadian operations, or Nov. 11, 2000. The agreement may be renewed by
Logipal at its option and may be terminated by either party on 60 days
prior written notice.
