Sale of a plastics divisiion may provide cash and shove UTCI closer to a pure play this leaves the problems you addressed plus the rather high priced management who just bought another operation and sold emkr before the recent runup! on the plus side is the deal with emcore and possible marketing by GE BUT we need more info
