( BW)(HELISYS)(HELI) Helisys and Sanders Prototype Enter into OEM
Partnership

Business Editors

TORRANCE, Calif.,--(BUSINESS WIRE)--April 30, 1997--

Agreement Provides Helisys with Immediate Presence in

Growing Desktop Market

Helisys, Inc. (NASDAQ:HELI) today announced that it has entered
into an OEM agreement with Sanders Prototype, Inc., a leading provider
of high-precision, 3D modeling systems.

According to the terms of the agreement, Helisys will begin to sell
Sanders' desktop ModelMaker II (TM) rapid prototyping system in early
summer under the Helisys name with its family of products.

The ModelMaker II (TM) is known throughout the industry for
its high-precision in small-scale modeling with accuracy of 1.0
thousandths of an inch over three inches. These models are
constructed with Sanders' patented thermoplastic materials and
are immediately ready for casting or molding.

"Our OEM agreement with Sanders provides Helisys with an immediate
and leading-edge presence in the expanding, low-cost desktop segment
of the market," said Michael Feygin, Helisys' President and Chief
Executive Officer. "The ModelMaker II (TM) is recognized throughout
the industry as the premier rapid prototyping system for creating
small-scale, high-precision 3D models.

By coupling our proprietary Laminated Object Manufacturing (R)
(LOM) (TM) technology with the Sanders desktop ModelMaker II (TM),
we will offer a broader range of solutions -- from small-scale,
high-precision models, to massive patterns and prototypes -- to our
potential prospects as well as our existing customer base," Mr.
Feygin added.

Tony Finizio, President and Chief Executive Officer of Sanders,
said, "We are very pleased with Helisys' endorsement of our
technology and are confident that this partnership will be mutually
beneficial for both organizations. Our ModelMaker II (TM) is an ideal
enhancement to Helisys' LOM (TM) product line, it gives us a new sales
channel and access to Helisys' customer base, which includes some of
the most prestigious names in manufacturing."

Sanders Prototype, Inc. manufactures the ModelMaker systems in
Wilton, New Hampshire, and sells and supports its products worldwide
through a network of high-quality resellers and its own sales and
technical service organizations.

Helisys develops and builds automated systems for creating physical
models, industrial patterns, product prototypes, and production
tooling directly from three-dimensional computer-generated designs.

Helisys' manufacturing customers include makers of automobiles,
toys, appliances, sporting goods, electronic hardware, medical
devices, aerospace components, shoes, springs, and other products.
Helisys' systems also are used in university research environments
and supercomputer centers.
