The shares were placed into a partnership, which may be some kind of estate planning vehicle. It does not appear to be a trust, per se. A partner in the family partnership may be a family trust. Anyway, they were not sold. Believe that Kowolski would have to file a 144 as the indirect owner of the shares should they be sold.
