REMEC and holder file to sell 3.75 mln shares

WASHINGTON, March 1 (Reuters) - REMEC Inc. (NasdaqNM:REMC - news) plan to
sell 3.5 million shares and one of its stockholders plan to sell 250,000 shares, according to a
registration statement filed with the Securities and Exchange Commission Wednesday.

The company said it would net about $122.2 million from the sale of its shares which will be used to fund working capital,
including spending to increase production capacity, expand marketing and research and development.

It will not receive any of the proceeds from the selling stockholder.

After the offering there will be about 28.9 million shares outstanding in the company, which designs and manufactures
microwave multifunction modules for microwave transmission systems used in the commercial wireless telecommunications
market and defense applications.

The underwriters, led by Needham & Co. Inc., have been granted the option to purchase an extra 562,500 shares in the event
of heavy demand.

Shares in the San Diego-based company closed up 1/2 to 37-3/8 on Nasdaq.
