Listing requirements for Nasdaq Smallcap Market

$4 million in total assets
$2 million in Total Stockholders equity
A public float of 100,000 shares
A $1 million market cap for the public float
300 shareholders
A $3 minimium bid price
At least two market makers
Registration under Section 12(g) of the Securities Exchange Act
of 1934

Should be filed next week after audited financials are released.

Nasdaq National market should be filed after 2nd quarter
Requirements are:

$4 million in net tangible Assets
$400,000 in Net income for the latest fiscal year
$750,000 in pretax income for the latest fiscal year
Public float of 500,000 shares
$3 million market value for public float
$5 minimium bid price
400 shareholders
Two market makers

Hope this helps for all those who have wondered what the
requirements are.

Marsh Supermarkets were suppose to take there first delivery of
cards this week. Once I see them on sale I will report results.
Just waiting for the second half of 1997 for this company to be
in the spotlight with strong sales and rapid price appreciation.
