It would he highly unusual for a company to announce a share buyback coupled with the intent to do a private financing. No way would a private placement investor let that happen. I have read the latest 10-K, which was issued not too long ago and there was no mention of a possible financing. If they had intended to do a financing then it would have been mentioned in the 10-K. Not to mention even the possibility would be asking for legal (lawsuit) trouble. My guess is they are not doing a financing at the present time and I believe the stock is dirt cheap (as are many under $3 stocks at the present time!)
