Usually the spin off is not subject to a proxy vote if spun off... if the shareholders receive consideration (stock) The evil empire??? Never said that we had/have a situation where a group was threatening a takeover. There is a saying in the financially world there are no co-incidences and these threats coincided with the stock trading falling flat... and a pretty clear attempt to surpress the trading. KAA
