Your broker has no clue what he is talking about.. Get a new broker. It is where the company files it's taxes and the jurisdiction it considers to be the Head Office... There have been numerous cases in the past where a canadian company has traded exclusively on Nasdaq but they are still considered canadian for foreign content because the HO and tax jurisdiction is Canada... Companies such as Open Text, Jetform etc. traded first on Nasdaq before listing on TSE..
