Microsoft poised to link up with NDS - FT

LONDON, March 7 (Reuters) - U.S. software giant Microsoft Corp
(NasdaqNM:MSFT - news) is poised to to step up efforts to strengthen its
position in digital TV by joining forces on Tuesday with News Digital Systems
(NDS) (NasdaqNM:NNDS - news), the Financial Times reported.

It said NDS, an encryption systems and digital software maker, and Microsoft
would announce a strategic alliance to develop operating software and
applications for interactive television.

The two companies would jointly market their products, the newspaper said.

Under the terms of the agreement, NDS would effectively transfer its operating software for set-top box
decoders to Microsoft, the Financial Times said.

It said the new partership would immediately announce its first customer with an order from Globo Cabo
Participacoes SA , a Brazilian cable-TV operator.

Microsoft would not take a direct stake in NDS but was thought to be in negotiations with Rupert
Murdoch's News Corp (Australia:NCP.AX - news). which is NDS's controlling shareholder with an 82
percent stake, the Financial Times said.

It noted that by taking over NDS's operating system, Microsoft would gain control of software fitted in
1.5 million set-top boxes around the world.
