I do not know the specifics of the law but the SEC recently changed the holding period for restricted stock from two years to only one year effective after April 30th.

Restricted stock held for more than one year can now be sold on May 1st.

I've had a nagging feeling that LDII would take a hit the first week of May, let alone the first day, down almost 10% in the first couple of hours of trading.

The company has not come out and said, "were doing a secondary offering" but they have been issuing a significant amount of cheap warrants and options (millions of shares) to raise capital with the number of outstanding shares climbing significantly over the last year. I know that Broad Capital is heavily involved in promoting their stock and some of these options and warrants have appreciated significantly.

The next couple of weeks should be interesting and hopefully LDII won't find its way back to the 7 or 8 range.

While I have no statistical evidence to validate what I am about to say the daily stock trading patterns are inconsistent with other stocks that I follow and I wonder how much this stock is manipulated, even yesterdays announcement on the eve of the SEC rule change smells funny.

Here's hoping I am completely wrong and the market maker is just dropping the price to allow the stock to get into stronger hands. Lets see where the volume ends up at the end of the day.
