I am somewhat suspicious of these announced activities as you are....I think the ($10) value for Web Capital Ventures was taken out of a hat by Garrett Krause...There is no market for the shares...so he could have said $100....but $10 seems more reasonable I suppose.

As to the objective of the merger....Krause announced last year that he would seek full NMS listing for all his ventures. He then went to investment banks and my reading of this is that the bankers told him to get rid of the shell games and have one real company then he can talk IPO.

At this point the purpose of the "IPO" is not clear but I am assuming that he is rolling up the various public companies...3W, USLabs, WBCG, SLNN..etc into a private company (3W Ventures) which will then be IPO'd. Strange but stranger things have happened. Even though these seem strange the price of WBCG is rising (from $3 last year to almost $15 before the latest pullback).

By the way SHAL never had NASD NMS status...it was always an OTC-BB stock.
