On Dec. 21, 1999, the company announced that it would acquire a convertible
debenture issued by Gemini Energy Corp. in the principal sum of $540,000
or, in the event that the convertible debenture issue was not completed, a
private placement of 2.7 million units of Gemini at 20 cents per unit. The
company and Gemini have now determined that the convertible debenture issue
will not proceed and will be replaced with the unit private placement.
Accordingly, the company will purchase 2.7 million units of Gemini at 20
cents per unit. Each unit will consist of one common share and one
non-transferrable share purchase warrant for the purchase of one additional
common share, exercisable for two years at 27 cents per share.
