Full Profile of OTCBB:FASC, First American Scientific Corporation:
FASC closed on Friday, 03/10/2000, at 43 cents a share.
As many of you all know, I sent out a message earlier this week, as an ?alert? that FASC was rising, and rising fast. I sent out just a ?snipit? of information on FASC as a possible mover and at the very least, IMHO, a good short term play.
After further research, I now see FASC as a long term play, at least for me. Each one of you, will have to make your OWN decisions about FASC, including if you feel, that FASC is a long term or just a short term play for YOU.

From the Recent PRE 14A SEC filing:
The Company's Board of Directors has established the close of business on March 7, 2000, as the record date (the "Record Date") for determining the shareholders of record. On March 7, 2000, the Company had 99,121,018 shares outstanding and entitled to vote.
Float, per a FASC long is 98 Million shares (note: Best bet to get ACCURATE information about the Float, is to contact the company):
  ragingbull.com
Some might express concern as to the large float and O/S, and rightly so, as one should always keep an eye out on such a thing. However, I?ve found that if the demand is there for the stock, then the float and O/S while important to consider, and can slow down the (fastness of a) rise of a given stock, it still can be done. That is, the price can still increase, just not as fast as a company with a smaller float. EDIG is one case in point. EDIG float, I?m told, is 110 Million shares, yet EDIG is trading in the double digit dollar range.
So, like I said, if the demand for the stock is there, even with a large float and o/s the stock can IMHO, still rise, albeit perhaps not as fast as a company with a smaller O/S and Float.

  Note:
It has come to my attention that the company is requesting from it?s shareholders (of which I am currently one of), the ability to have authorized an additional 100 Million shares. This would bring the total Authorized shares to 200 Million shares. Authorized shares do NOT mean that right off, that the Outstanding shares will increase to the full measure of that amount (in this case if approved, 200 Million shares) right off the bat. It just means that down the road, if this increase of the Authorized shares are approved by the shareholders, that the company CAN issue more shares into the O/S up to, and including that amount.
The company has also said to the FASC longs, that if this increase of the authorized shares is approved by the shareholders, it would in effect be a good steward of these shares, this via a post on the Raging Bull:
  ragingbull.com
Here is the request to have the Authorized shares increased, via a SEC filing:
  freeedgar.com
IMHO, while it's important to keep ones 'eye' on it, as a savy investor, this is not a major deal, as long as the company does NOT go ?hog wild? in using these shares should the authorization for the increase be approved by the current shareholders.
The stated purpose for these shares, is to help get the KDS machine into production. It has also been stated, that there are orders pending for the KDS machine, depending on the (sucessful) demonstration of the machine at the upcoming Global 2000 show.
See here about that show, which will be held, March 22 to March 24, 2000:

As always, be sure to do our own DD and Research, and then decide for yourself. Remember, FASC is still an OTCBB stock, and as such, is IMHO, still a risky venture.
IMHO, when playing the OTCBB market, one should only risk funds that one is fully ABLE and Fully WILLING to lose TOTALLY!
Should after completing your OWN DD and Research, you find you are still interested, and decide to buy this companies stock, then IMHO, you should ONLY invest not only what you are ABLE to lose completely, but ALSO what you are WILLING to completely lose.
