The company has agreed to acquire one million special shares of
WiredMerchant.com Inc. in a private placement at a price of 75 cents per
special share for a total consideration of $750,000. Each special share
will entitle the holder to acquire, for no additional consideration, one
common share of WiredMerchant and one share purchase warrant of
WiredMerchant. Each WiredMerchant warrant will entitle the holder thereof
to purchase one common share of WiredMerchant for two years from the date
of closing at 75 cents per share.
WiredMerchant is a private company incorporated under the laws of Ontario,
based in Concorde, Ont. On Feb. 24, 2000, Luxmatic Technologies announced
in Stockwatch that it had entered into an arm's-length letter of intent
with WiredMerchant wherein Luxmatic and WiredMerchant will combine pursuant
to an amalgamation agreement. Upon the amalgamation becoming effective, the
companies shares and warrants in WiredMerchant will be exchanged for an
equivalent number of shares and warrants in the amalgamated company, with
the warrants having the same terms and conditions as the WiredMerchant
warrants.
The company's purchase of the WiredMerchant special shares is subject to
regulatory approval.
