CORPORATE SUMMARY

WoWtown.com is a membership driven group of affiliated Internet
Portals to facilitate Business-to-Business (B2B), Business-to-Consumer
(B2C), and Consumer-to-Consumer (C2C)
eCommerce. With the use of the Internet as a communication,
research, and commerce vehicle the next logical area for growth is
utilizing the World Wide Web on a local level. Consumers love to
search for items and information on the web, but prefer to buy
things on a local level, saving time, shipping, and having piece of
mind buying from someone they are familiar with.

Going beyond typical eCommerce concepts WoWtown.com is
providing several exciting innovations to their portal including
localized regional auctions, Wowtown net savings card, (discounts
from local merchants to WoWtown users) and one-click access to
over 5,000,000 different items. WoWtown will also have corporate
membership, which will allow participating local businesses direct
advertising to WoWtown viewers and members. WoWtown also
anticipates using other more traditional forms of advertising (print,
TV, radio) to drive traffic to their site in each regional market.

WoWtown's growth plan for calls for licensing individual WoWtown
sites to different licensees in distinct territories while retaining the
corporate "feel" and look of every other WoWtown portal. Master
licenses will be issued for $100,000 for territories of 1,000,000
consumers or more and lesser amounts for smaller territories.
Using an Internet template to ensure consistency, WoWtown can
build a national market presence while benefiting from local
management and cash flow from licensees. The WoWtown format
can be easily adapted to other languages so international growth is
planned for the future.

MARKET SUMMARY

The Internet and particularly eCommerce are currently at the
beginning of its growth curve. A 1999 study by Boston Consulting
Group forecasts that 25% of B2B purchasing to be done online by
2003 equating to about $2.8 trillion. This translates into a growth rate
