3Com grows confident of non-dilutive deal

SAN FRANCISCO, April 30 (Reuter) - 3Com Corp Chief
Executive Officer Eric Benhamou Wednesday said he is growing
increasingly confident the company's planned acquisition of
U.S. Robotics Corp will be non-dilutive to earnings.

"With two more months of knowledge we have much more
confidence that we will achieve that result," Benhamou said at
the Hambrecht & Quist technology conference here.

3Com and U.S. Robotics announced their merger in February,
and they hope to complete it as early as June.

In addition, Benhamou said the company's business in
adapter cards, which connect personal computers to networks,
gained market share from rival Intel Corp in the
recently completed first quarter.

"Our share continued to increase in the first three months
of the year despite agressive moves by Intel," Benhamou said,
citing research reports.

3Com and Intel are two of the largest companies in the
adapter card market. Earlier this month, Intel unveiled
inexpensively-priced products in the market, sending shares of
3Com falling as mush as two points in one day.
