NORTEL NETWORKS: Telecom Developpement selects Nortel Networks to develop newcorporate network; Matra, Nortel Communications to deploy unified networkssolution for voice, data, Internet
MAR 16, 2000, M2 Communications - PARIS -- Telecom Developpement (TD), a joint venture of Cegetel and SNCF (the French state-owned railroad operator), has chosen Matra Nortel Communications to develop its corporate network using a Unified Networks* solution from Nortel Networks* [NYSE/TSE: NT].

This solution will include Nortel Networks' Passport* 15000 packet switches and high-speed radio and ADSL access, giving TD an integrated, feature-rich, carrier-grade network to provide WAN connectivity, ATM data services, secured
and reliable intranet and Internet access, leased lines and voice communications.

"With other alternatives, we needed nine months of benchmarking on a test platform to compare solutions from three different suppliers," said Charles Rozmaryn, president, Telecom Developpement.

"We chose Nortel Networks because their solution is ready to integrate voice and data in packet mode on a single platform," Rozmaryn said. "This integration will enable us to enhance our services and give us a competitive edge in a market that has been transformed by the Internet explosion." The first phase of the TD network will be rolled out in the second quarter and operational in the third
quarter of this year. TD also plans a third-quarter trial of Nortel Networks' Succession* solution for transforming existing circuit-switched networks to packet-based IP technology.

Nortel Networks was first-to-market last year with its Internet Telephony solution for the transformation of existing networks (launched as "Succession Network"), as well as first-to-market with its Internet Telephony solution for new packet networks that support the deployment of new IP services (originally launched as "IPConnect"). Nortel Networks has now combined the two into one unified portfolio branded as Succession solutions.

"We are committed to delivering real choice to our customers as they look to reliably implement true business telephony services over managed, carrier-grade networks," said Michel Clement, Chief Operating Officer, Matra Nortel Communications. "Consistent with this commitment, we are working closely with TD to provide a next generation IP solution suited to their customer needs and new
business challenges." Telecom Developpement designs, deploys and operates the only alternative digital long-distance telecommunications network in France using, for the most part, its own infrastructure. This national communications
network boasted nearly 16000 km of optical fibre cable at the end of 1999 and is organised in secure loops using SDH and WDM technology. The switching centres are located near to Paris and Lyons.

TD possesses a licence to operate its network and provide telephone services using the number 7 prefix. Its main services, switched minutes and 2 to 155 megabits per second digital leased lines, are offered to the public through
Cegetel, which trades with the general public through Cegetel 7 and with corporations through Cegetel Entreprises. TD has a 20 percent stake in the capital of both of these companies. TD sells its services directly to other
telecoms operators. Any telecoms operator is able to approach TD for traffic transportation services within France or abroad.

Matra Nortel Communications, a subsidiary of the Aerospatiale Matra group and Nortel Networks, is a leading player in the different strategic sectors of the
telecoms market. Matra Nortel Communications brings together the high-technology expertise of the Aerospatiale Matra group in the defence, aeronautics and space sectors with the global strength of Nortel Networks in supplying telecoms
networks to operators and corporations. These combined strengths make Matra Nortel Communications a leading player in the high-growth multimedia telecommunications networks market.

solutions for the Internet. The Company had 1999 U.S. GAAP revenues of US$21.3
billion and serves carrier, service provider and enterprise customers globally.
